Terms of Service
Effective date: 31 July 2026
These Terms govern your use of KS-Merge, a document assembly, certification and delivery service operated by Kokoro Solutions Ltd., a company incorporated in Jamaica ("KS-Merge", "we", "us"). By creating a workspace or using the free trial you agree to these Terms.
1. The service
KS-Merge lets you upload documents, assemble them into bundles with a table of contents, watermarks and Bates numbering, optionally apply a cryptographic certified-signature and trusted timestamp, and deliver them by email or secure share link. Every material action is recorded in a tamper-evident audit log.
2. Accounts and workspaces
- You must provide accurate registration information and keep credentials confidential.
- Workspace owners control membership and roles (Owner, Admin, Attorney, Paralegal, Viewer).
- Two-factor authentication is available to all users, is recommended for every account, and is required for our platform staff.
- You are responsible for all activity under your workspace.
3. Free trial
The no-signup trial is limited to 5 files of up to 50 MB each, 3 merges per day, and 24-hour retention, and trial output carries KS-Merge branding. Trial bundles are automatically and irrevocably deleted after 24 hours.
4. Acceptable use
You may not upload malware, infringe third-party rights, attempt to access other tenants' data, probe or overload the service, or use it to violate any law or court order.
4a. File scanning and security enforcement
We inspect the files you upload — for safety, not for their content. To protect every customer and our platform, KS-Merge automatically scans each upload. This inspection is limited to security signals: file structure, format integrity, embedded active content (scripts, launch actions, attachments), and known malware signatures. We have no interest in, and do not review, the substance of your documents except where a security signal requires it or the law compels it.
- We track and act against malicious files. Files exhibiting malware signatures or active content are quarantined and blocked, and the event is recorded in our security systems. Repeated or hostile activity may result in automatic containment — including temporary rate-limiting, blocking, or setting a workspace to read-only — and, in serious cases, suspension. These measures protect all customers and are applied at our discretion.
- Your security is your responsibility. You are responsible for maintaining your own security and anti-malware protocols, for the integrity of the files you upload, and for the security of your accounts, devices, and networks. You must scan your own files before uploading and keep your credentials and endpoints secure.
- We are not responsible for your security posture or negligence. KS-Merge's scanning is an additional safety layer, not a substitute for your own controls. To the fullest extent permitted by law, we are not liable for any loss, breach, malware, or harm arising from your own security practices, negligence, compromised accounts, or the content or condition of files you upload.
- No guarantee of detection. No scanner detects every threat. We do not warrant that our scanning will identify all malicious or defective files, and you must not rely on it as your sole protection. By uploading, you confirm you have the right to do so and that you have applied your own reasonable security measures to the files.
5. Plans, billing and taxes
- Paid plans are billed per the published pricing page (Solo, Duo or Practice; monthly or annual).
- Payment is accepted by card, through our third-party payment processor, or by bank transfer on net-30 terms. You authorise us and our processor to charge your selected payment method for all fees then due, including recurring subscription renewals, until you cancel. You are responsible for keeping payment details current; failed or reversed payments are treated as non-payment under this section.
- Invoices unpaid 30 days after their due date place the workspace in read-only mode; at 45 days the workspace is suspended. Your data is retained per the retention policy while suspended.
- Fees are exclusive of taxes; you are responsible for any applicable sales, use, GCT or withholding taxes, except taxes on our income.
- Prices may change with 30 days' notice; changes apply from your next billing period.
6. Your content
You retain all rights to documents you upload. You grant us only the limited licence needed to store, process, render, certify and deliver them at your direction. We access content solely to provide the service, never for advertising or model training.
7. Certified signing
Where you apply certified signing, KS-Merge appends a certificate-of-signature page and a cryptographic seal, and may obtain a trusted timestamp from an independent Time-Stamp Authority (only the document's hash — never its content — is sent for timestamping). A certified document is tamper-evident but is not a substitute for any signature, notarisation or filing formality your matter requires; you remain responsible for confirming its legal sufficiency for your purpose.
8. Data protection
Our Privacy Policy and, for workspaces, our Data Processing Agreement form part of these Terms. We process personal data in accordance with the Jamaica Data Protection Act, 2020 and, where applicable to your users, the EU/UK General Data Protection Regulation. Retention defaults, legal hold and erasure timelines are described there.
9. Availability and support
Service levels and credits are described in the Service Level Agreement. We may perform scheduled maintenance with notice via the status page.
10. Termination
You may cancel at any time; owners may export bundles before cancellation. We may suspend or terminate for material breach, non-payment (per §5) or unlawful use. On termination, data is deleted per the retention schedule unless a legal hold applies.
11. Disclaimers and warranties
The service is provided "as is" and "as available", without warranties of any kind. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, secure, or that it will detect every malicious or defective file, or meet your requirements. KS-Merge is not a law firm and provides no legal advice; you remain solely responsible for the content, accuracy, timeliness and filing compliance of your bundles and for verifying every document before use or filing.
12. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, however caused and under any theory of liability, even if advised of the possibility.
- Our total aggregate liability for all claims arising out of or relating to the service or these Terms is limited to the fees you actually paid to us in the 12 months immediately preceding the event giving rise to the claim.
- These limitations apply in the aggregate and do not reset. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any liability that cannot be excluded or limited under applicable law.
13. Indemnification
You will defend, indemnify and hold harmless Kokoro Solutions Ltd., its affiliates, and their officers, employees and agents from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or related to: (a) the documents and content you upload, store, or deliver through the service; (b) your use of the service in breach of these Terms or any law, court order, or third-party right (including intellectual-property, privacy and confidentiality rights); (c) a dispute between you and any recipient or third party; or (d) your negligence, misuse, or compromised credentials. We will notify you of the claim, give you reasonable control of the defence, and cooperate at your expense; we may participate with our own counsel.
14. Governing law and disputes
These Terms are governed by the laws of Jamaica, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts of Jamaica, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Before filing any claim, the parties will attempt in good faith to resolve the dispute for 30 days after written notice.
